These terms and conditions (these “Terms”) apply to the use of the photographs, graphics, and videos (“Content”) made available by The Leona M. and Harry B. Helmsley Charitable Trust (“Helmsley”) for preview and download through Helmsley’s website’s Press Room (the “Press Gallery”). You may request access to download the Content by emailing presscontent@helmsleytrust.org and confirming you are a member of the media and that you agree to these Terms. These Terms do not grant you the right to use any other material on Helmsley’s website. If you do not agree to these Terms, you may not use the Content and must immediately cease any and all uses thereof, including deleting any downloaded Content.

By downloading the Content, you acknowledge and agree to the following:

• You represent and warrant you are a member of, or otherwise working on behalf of, a credentialed news media organization or are working in connection with an event, conference or other similar activity featuring Helmsley;
• You represent and warrant that you have the authority to agree to these Terms, and if you are downloading the Content on behalf of your employer, that you have full legal authority to bind your employer to these Terms;
• As between you and Helmsley, all of the Content will remain owned by Helmsley; and
• You agree to limit your use of the Content in accordance with these Terms, including the License and Restrictions on Use sections below.

License. You are hereby granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Content for non-commercial editorial purposes only in connection with a feature regarding the positive impact of Helmsley or any of its charitable activities on communities and people; or in connection with an event, conference, or other similar activity featuring Helmsley.

You agree to include the following copyright notice in connection with the Content: “© The Leona M. and Harry B. Helmsley Charitable Trust”.

Restrictions on Use.

• You may not use the Content for a non-editorial purpose or to promote a commercial product or service, and you may not use the Content in a way that suggests any endorsement by Helmsley of any company, product, or service as this is strictly prohibited;
• You may not edit, modify or otherwise alter or create derivative works of the Content without Helmsley’s express prior written permission; and
• You may not use the Content in such a way that allows others to download, extract or redistribute the Content as a standalone file separate from the end use.
